1. Who we are and these terms

Vookamba (“Vookamba”, “we”, “us”, “our”) is a consumer review platform operated by [Vookamba Limited], a company registered in the Republic of Zambia (registration number [PACRA number]), with its registered office at Plot 10445S/D/7F, Off Great East Road, Chainama, Lusaka, Zambia. These Terms & Conditions (“Terms”) govern your access to and use of the Vookamba website, and any related services (together, the “Platform”). By accessing or using the Platform, or by creating an account, you agree to these Terms and to our Privacy Policy, Review Guidelines and Cookie Policy, which are incorporated by reference. If you do not agree, do not use the Platform.

2. Eligibility and your account

• You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
• You must provide accurate information and keep it up to date. You may use a display name that is not your legal name, but you must not impersonate any person or organisation.
• You are responsible for all activity under your account and for keeping your password secure. Tell us immediately if you suspect unauthorised use.
• You may hold only one personal account. Additional accounts created to circumvent a suspension or to inflate or deflate a rating are prohibited.

3. Using Vookamba

The Platform lets consumers publish reviews and ratings of businesses operating in or serving Zambia, and lets businesses respond. Reviews reflect the personal opinions and experiences of the individuals who post them. They are not endorsed or verified as factually accurate by Vookamba, except to the extent described in our Review Guidelines and moderation process.

4. Reviews and other content you post

When you submit a review, reply, report, photo, or any other material (“User Content”), you represent and warrant that:

• the review is based on your own genuine, first-hand experience as a customer of that business;
• you have not been paid, rewarded or induced by the business (or a competitor) to post it;
• the content is your honest opinion and any statements of fact in it are true and can be substantiated;
• it does not infringe anyone’s rights, is not defamatory, and does not breach any law of Zambia including the Defamation Act, the Cyber Security and Cyber Crimes Act, 2021, the Data Protection Act, 2021 and the Competition and Consumer Protection Act, 2010;
• it complies with our Review Guidelines.

We may ask you to provide documentation evidencing your experience (such as a receipt, contract, booking reference or correspondence). If you do not provide it within a reasonable time, we may decline to publish or may remove the review.

5. Licence to your content

You keep ownership of your User Content. By posting it, you grant Vookamba a worldwide, non-exclusive, royalty-free, transferable and sub-licensable licence to host, store, reproduce, adapt (for formatting), publish, display and distribute that content in connection with operating and promoting the Platform, including after you close your account where the content forms part of a business’s review history. You waive any moral rights in the content to the extent permitted by law.

If you delete a review, we will remove it from public display. We may retain a copy in anonymised or aggregated form so that business ratings and statistics remain accurate, and as needed to comply with law or resolve disputes.

6. Moderation and removal

We operate pre-publication moderation. We may, at our discretion and without notice, decline to publish, edit for formatting, label, reorder, or remove any User Content that we reasonably believe breaches these Terms or our Guidelines, or that exposes us or others to legal risk. We are not obliged to monitor User Content but may do so. Where we reject content we will normally give you the reason and an opportunity to resubmit a compliant version.

7. Businesses and claimed profiles

• Business profiles may be created by Vookamba, by consumers, or by the business. Listing a business does not imply any relationship between that business and Vookamba.
• A business may claim its profile by verifying its identity. A claimed profile can reply to reviews, edit business information and flag reviews for moderation.
• Claiming a profile gives a business no right to remove, hide, edit or reorder genuine reviews, and no control over its rating.
• Businesses must not post reviews of themselves or competitors, incentivise reviews, or misrepresent their identity. Breach may result in loss of claimed status and a public notice on the profile.

8. Intellectual property

The Platform, including its design, text, graphics, logos (including the Vookamba name and logo) and software, is owned by or licensed to Vookamba and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from any part of the Platform except your own User Content, without our prior written consent. You may share links to Platform pages.

9. Prohibited conduct

You must not:

• post content that is false, misleading, defamatory, obscene, hateful, harassing, or that infringes privacy or intellectual property rights;
• post another person’s personal data without a lawful basis;
• use the Platform to advertise, spam, or solicit;
• manipulate ratings, including by posting fake reviews or trading, buying or selling reviews or accounts;
• scrape, crawl or harvest data from the Platform except as permitted by our robots.txt, or use automated means to access it without our written permission;
• attempt to gain unauthorised access to the Platform, interfere with its operation, or introduce malicious code;
• use the Platform in breach of any applicable law.

10. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including as to merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Platform will be uninterrupted, secure or error-free, or that reviews are accurate, complete or reliable. Reviews are the opinions of their authors; any reliance you place on them is at your own risk. Nothing in these Terms excludes liability that cannot be excluded under Zambian law.

11. Limitation of liability

To the fullest extent permitted by law, Vookamba and its directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or in connection with your use of (or inability to use) the Platform or any User Content. Our total aggregate liability to you for all claims arising out of or relating to the Platform will not exceed the greater of (a) ZMW 1,000 or (b) the amount you paid us, if any, in the 12 months before the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold harmless Vookamba against all claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or connected with User Content you post, your use of the Platform, or your breach of these Terms or of any law or third-party right.

13. Suspension and termination

You may close your account at any time. We may suspend or terminate your access, or remove content, immediately and without notice if we reasonably believe you have breached these Terms or our Guidelines, if required by law, or to protect the Platform or other users. Sections that by their nature should survive termination (including 5, 8, 10, 11, 12 and 15) will survive.

14. Changes to these terms

We may update these Terms from time to time. If we make material changes we will post the updated Terms with a new “last updated” date and, where appropriate, notify registered users. Your continued use of the Platform after changes take effect constitutes acceptance.

15. Governing law and disputes

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the laws of the Republic of Zambia. You and Vookamba submit to the exclusive jurisdiction of the courts of Zambia. Before starting court proceedings, both parties agree to attempt in good faith to resolve the dispute by negotiation, and consumers may also refer complaints to the Competition and Consumer Protection Commission.
